VeriStrata, Inc. and the Predecessor
VeriStrata, Inc., a Delaware corporation, is the issuer for all current new-money SAFEs. Reed O'Neal assigned the product code and related intellectual property to VeriStrata, Inc.
Earlier financial records and some legacy screenshots refer to TruthTrollers, LLC, the predecessor working entity under which the product was developed. Those materials are founder-development context, not the go-forward operating model. The two $1,000 TruthTrollers instruments have been transferred to and assumed by VeriStrata, Inc. on their original terms; the capitalization and predecessor treatment are summarized in Appendix D of the Business Plan.
Supporting Records Available on Request
The packet includes the current cap table, management-prepared issuer financial statements, and a blank SAFE form. Signed investor instruments and underlying corporate, accounting, and chain-of-title records are shared individually because several contain private information.
| Available on request | Why it is not here |
|---|---|
| Executed investor SAFE agreements | Contain investors' names, signatures, addresses, amounts, and personal contact details |
| Founder IP assignment and executed legacy transfer documents | Chain-of-title and legal records, shared with counsel and serious investors |
| Brex bank, card, and transaction source records | Underlying accounting evidence; not an investor-facing financial statement |
| TruthTrollers, LLC predecessor financial records | Development context; separate entity, cash-basis, management-prepared, and unaudited |
| Certificate of incorporation, bylaws, stock records, and board consents | Corporate records, shared at the diligence stage |
Ask and they will be sent the same day.
The Evidence Layer
The Evidence Layer is VeriStrata's newsletter, covering product progress, evidence-mapping practice, and what the alpha is teaching us. It replaces the earlier periodic product updates and is the best current view of where the work stands between packet revisions.
